Praxis Performance provides physical performance services, coaching, educational instruction, and a companion digital platform designed for users to access individualized programming, track performance diagnostics, and manage administrative wellness documentation. 

Praxis Performance is a coaching, educational, and administrative platform; we are not a licensed healthcare provider, medical entity, or medical clearinghouse, and do not provide medical advice, diagnosis, or treatment.  

The contents of the Praxis Performance platform, including text, graphics, and cohort reports, are for informational and organizational purposes only. Nothing on this platform constitutes medical advice, diagnosis, or treatment.

Always seek the advice of a qualified physician regarding any medical condition. Praxis Performance does not guarantee that the use of our platform will result in insurance coverage, reimbursement, or legal compliance with third-party insurance policies.  

At Praxis Performance, we believe you own your narrative based on total transparency, no data sales, and user sovereignty. Praxis Performance is a Non-Covered Entity (NCE) as defined by HIPAA. 

While we utilize HIPAA-aligned security (including Business Associate Agreements with infrastructure providers), our legal relationship is governed by these Terms and our Privacy Policy, not HIPAA administrative rules. 

By accessing the platform, you voluntarily transfer your data from a HIPAA-covered environment to our non-covered platform. 

To use certain features, you must create an account. You are solely responsible for maintaining account credential confidentiality and for the validity and accuracy of any data, documentation, or NPI numbers you upload. Prohibited conduct includes uploading fraudulent records, impersonating healthcare providers, or utilizing the platform to facilitate insurance fraud or any illegal activity.  

You maintain 100% control over your data and retain all rights to the documents you upload. You grant Praxis Performance a limited license to host, store, and process your data solely to provide the service to you. You also grant us the right to include your data in anonymized, aggregated longevity and cohort reports, subject to our strict de-identification protocols and your explicit right to opt-out.

All Services are subject to the established Standard Rate unless an alternate tier is explicitly authorized in writing. A Preferred Rate may be extended to Clients who meet specific referral criteria or through approved partner programs. Referral rates are non-transferable, are not guaranteed, and must generally be established prior to purchase; however, a qualified adjustment to the Preferred Rate may be applied retroactively after signing if, and only if, the Client provides a valid, verified Letter of Medical Necessity (LMN). 

The Company reserves the right to apply qualified pricing adjustments, credits, promotions, or fee modifications reflected on Client invoices, provided that the Company gives the Client no less than thirty (30) days' prior written notice before any fee increase takes effect. Continued participation in the Services or access to the platform after the effective date of a qualified adjustment constitutes explicit acceptance of the updated pricing structure.

If you are accessing this digital platform or portal in connection with an active Client Services Agreement ("CSA") for performance coaching or studio utilization, this platform constitutes an incorporated operational component of your contract. 

In the event of any conflict between these Terms and the master CSA regarding payments, cancellations, or refunds, the statutory rights under California Civil Code Sections 1812.80 through 1812.98 set forth in Section 7 of your CSA shall strictly govern and supersede these Terms. 

This includes your unconditional right to cancel the Agreement within five (5) business days for a full refund , as well as your right to cancellation and prorated relief in the event of relocation, death, or permanent physical disability.  

TO THE MAXIMUM EXTENT PERMITTED BY CALIFORNIA LAW, PRAXIS PERFORMANCE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM PARTICIPATION IN THE SERVICES OR USE OF THE PLATFORM. TO THE EXTENT LIABILITY IS ESTABLISHED, CLIENT AGREES THAT COMPANY'S LIABILITY SHALL BE LIMITED TO THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY CLIENT UNTIL THAT POINT. NOTWITHSTANDING THE FOREGOING, THIS LIMITATION DOES NOT APPLY TO DAMAGES ARISING FROM COMPANY'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUD, AS SET FORTH IN SECTION 13 OF THE MASTER CLIENT SERVICES AGREEMENT.   

You agree to indemnify and hold harmless Praxis Performance and its officers, directors, and employees from any claims, liabilities, or expenses (including attorney fees) arising out of your violation of these Terms, your misuse of the platform, or your submission of fraudulent or inaccurate medical documentation. 

In compliance with California consumer standards, you agree to a mandatory informal dispute resolution period of 30 days before initiating any formal legal action. ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICES PROVIDED SHALL BE RESOLVED EXCLUSIVELY THROUGH BINDING ARBITRATION IN THE STATE OF CALIFORNIA ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION UNDER ITS CONSUMER ARBITRATION RULES. THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION ARE EXPLICITLY WAIVED.  

We reserve the right to modify, update, or discontinue any aspect of services or programs where operationally necessary, provided it does not materially reduce core service commitments during an active agreement period. If any provision of these Terms is determined invalid or unenforceable, the remaining provisions shall remain in full force and effect.
